Proposed Scheme Of Arrangement Between Prestariang Skin Sdn. Bhd. And Its Scheme Creditors Pursuant To Section 366 Of The Companies Act 201

We refer to our announcements dated 24 August 2020 and 30 September 2020 in relation to the proposed scheme of arrangement (“Proposed Scheme”) between Prestariang SKIN Sdn Bhd (“PSKIN”) and its scheme creditors (“Scheme Creditors”). The Company will adopt the same references as set out in the announcement dated 24 August 2020.

Pursuant to the Court Order dated 30 September 2020, PSKIN has given notice to the Scheme Creditors of the meeting of the Scheme Creditors to be convened on 9 November 2020 at 10:00 a.m. at Conference Room, Level 3, Star Central, Block 12, Lingkaran Cyber Point Timur, Cyber 12, 63000 Cyberjaya, Selangor Darul Ehsan.

Copies of the Explanatory Statement, and other related documents required to be furnished pursuant to section 369 of the Companies Act 2016 have been sent by registered post to the Scheme Creditors.

The Proposed Scheme is in relation to PSKIN only. The Proposed Scheme will have no impact on the operations of the other companies in the Prestariang Group of companies (i.e. the other direct and indirect subsidiaries of the Company) (“Prestariang Group”). Further, the Proposed Scheme does not involve any lenders of PSKIN or the Prestariang Group.

The Company will make the relevant update announcement(s) in relation to the foregoing as and when there are material developments on the same.
