Reference is made to the Company’s announcement on 10 December 2019 (“the Announcement”) in relation to the Share Exchange Agreement entered into between Prestariang Capital Sdn Bhd (“Prestariang Capital”), a wholly-owned subsidiary of the Company, OpenLearning Limited, Magna Intelligent Sdn Bhd and other investors.

Unless otherwise stated, the abbreviations and definitions used throughout this announcement shall have the same meanings as defined in the Announcement.

The Company wishes to inform that with reference to item 3.1(b) of the Announcement, Prestariang Capital will hold 13,726,784 shares in OLL, representing 9.83% shareholding of the issued and paid-up share capital of OLL upon completion of the exchange of Exchange Shares for OLL shares.
